Closing of acquisition of 100% stake in PKPE Holding by PGE Polska Grupa Energetyczna

Upon fulfillment of the last condition precedent, on April 3, 2023, the transaction for PGE's direct acquisition of 100% of shares in PKPE Holding sp. z o.o., and consequently the indirect acquisition of 100% of shares in PKP Energetyka S.A. and shares in other subsidiaries held by the company, was closed.

The final price paid by PGE to the seller on April 3, 2023 was PLN 1,873.3 million.

The acquisition of PKPE Holding sp. z o.o. is in line with the PGE Group's strategy. As a result of the closing of the transaction, the PGE Group gained, among other things, access to the distribution network throughout the country, whose regulatory value of assets as of 2023 is PLN 3,421 million.

Closing the transaction involves changing the company's name from PKP Energetyka S.A. to PGE Energetyka Kolejowa S.A.  Change of the company's name will take place on the day of registration by the competent registry court. Until the date of registration, PKP Energetyka S.A. will continue to operate under its current name.
